1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Zendr Agency ("Zendr," "we," "us," or "our"), a product of Fuse Holding, a company registered in the United Arab Emirates.

By creating an account, subscribing to a plan, or using the Zendr platform at www.zendragency.com (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Zendr is an AI-powered social media management platform that provides content creation, scheduling, analytics, multi-brand management, approval workflows, and team collaboration tools. The Service is delivered as a cloud-based Software-as-a-Service (SaaS) application accessible via web browser.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account, including actions by team members you invite.
• You must be at least 18 years old to create an account.
• You must notify us immediately of any unauthorized use of your account at [email protected].

4. Subscription Plans & Billing

4.1 Plans

Zendr offers the following subscription plans:

4.2 Free Trial

New accounts receive a 30-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, you must select a paid plan to continue using the Service.

4.3 Payment

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel. All fees are quoted in US Dollars (USD) and are exclusive of applicable taxes.

4.4 Cancellation & Refunds

• You may cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of the current billing period. You will retain access until then.
• We do not provide prorated refunds for partial billing periods.
• Annual subscriptions may be eligible for a refund within the first 14 days if no significant usage has occurred. Contact us to request a review.

4.5 Price Changes

We reserve the right to change pricing with 30 days' written notice. Price changes will apply at the start of your next billing cycle. If you do not agree with the new pricing, you may cancel before the change takes effect.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Publish, schedule, or distribute content that is defamatory, obscene, harassing, threatening, or promotes violence or discrimination.
• Distribute spam, unsolicited messages, or misleading content through connected social media accounts.
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competing product or service.
• Circumvent usage limits, rate limits, or security measures.
• Upload malware, viruses, or any harmful code.

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice.

6. Content & Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you create, upload, or schedule through the Service ("Your Content"). By using the Service, you grant Zendr a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Service.

6.2 AI-Generated Content

Content generated by our AI features (captions, hashtags, content suggestions) is provided as a starting point. You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing. Zendr does not guarantee the accuracy, originality, or legal compliance of AI-generated content.

6.3 Our Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Zendr and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements without prior written consent.

7. Third-Party Integrations

The Service integrates with third-party platforms including but not limited to Instagram, Facebook, TikTok, LinkedIn, X (Twitter), YouTube, and Google Analytics. Your use of these integrations is subject to the respective platform's terms of service and privacy policies.

• We are not responsible for changes to third-party APIs that may affect Service functionality.
• You are responsible for complying with each platform's content policies and community guidelines.
• Third-party platforms may revoke access tokens at any time, which may interrupt scheduled content delivery.
• We do not guarantee the availability or accuracy of data retrieved from third-party platforms.

8. Data Ownership & Portability

Your Content and data remain your property at all times. Upon request or account termination, you may export your data (content, analytics, brand settings) in standard formats. We will provide reasonable assistance for data export within 30 days of your request.

9. Service Availability & Support

• We target 99.9% uptime but do not guarantee uninterrupted service.
• Scheduled maintenance will be communicated in advance when possible.
• Support is available via email at [email protected].
• Response times vary by plan tier. Agency Pro subscribers receive priority support.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Zendr and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the total fees paid by you to Zendr in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zendr and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Termination

• By You: You may terminate your account at any time by canceling your subscription and contacting us to delete your account.
• By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees when due.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days to allow for export, after which it will be permanently deleted.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or the Service shall be resolved through the courts of Dubai, UAE, unless otherwise agreed in writing.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zendr.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
